The following terms and conditions, together with any documents they expressly incorporate by reference (“Terms of Use”), govern your access to and use of TVQue’s website www.TVQue.com(our “Website“), any and or on our mobile, web, or desktop applications (“Apps”) (Website, Affiliated Websites, and Apps shall collectively be referred to as “Online Services”), including any content, functionality and services offered on or through Online Services, whether as a guest or a registered user.

By using the Online Services or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at https://www.tvque.com/policy/privacy_policy.html, incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Online Services.

The Online Services are generally offered and available to users who are 18 years of age or older, and reside in the United States, Canada or any of their states, provinces, territories, or possessions. If you engage in any of the foregoing activities in violation of these Terms of Use or provide any other person with access to any part of the Online Services in breach of the Terms of Use, your right to use the Online Services will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title or interest in or to the Online Services or any content on the Online Services is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Online Services not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark and other laws.

Trademarks 

The Company name, the terms “TVQue”, the Company logo, and all related names, logos, product and service names, designs and slogans are trademarks of the Company or its affiliates or licensors. You must not use or display such trademarks without the prior written permission of the Company. All other names, logos, product and service names, designs and slogans on this Online Services are the trademarks of the Company and its licensors. All right, title, and interest in and to all trademarks are expressly reserved by the Company and its licensors.

Prohibited Uses 

You may use the Online Services only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Online Services:

In any way that violates any applicable federal, provincial, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US, Canada, or other countries).
For the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise.
To send, knowingly receive, upload, download, use or re-use any material which does not comply with our Content Standards set out in these Terms of Use.

The Online Services may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, other interactive features (collectively, “Interactive Services“) that allow users to post, submit, publish, display or transmit to other users or other persons (hereinafter, “post“) content or materials (collectively, “User Contributions“) on or through the Online Services. All User Contributions must comply with the Content Standards set out in these Terms of Use.

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Online Services, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors and assigns the right to use, reproduce, publish, exhibit, transmit, communicate, modify, adapt, translate, perform, display, distribute, make available, exploit and otherwise disclose to third parties any such material for any purpose. You represent and warrant that:

You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors and assigns.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have fully responsibility for such content, including its legality, reliability, accuracy and appropriateness.

Monitoring and Enforcement; Termination We have the right to:

Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Online Services or the public or could create liability for the Company.

YOU WAIVE AND AGREE TO INDEMNIFY AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we cannot and do not undertake to review material before it is posted on the Online Services, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, provincial, local and international laws and regulations. Without limiting the foregoing, and as determined by Company in its sole discretion, User Contributions must not:

Be likely to deceive any person.
Promote any illegal activity, or advocate, promote or assist any unlawful act.
Cause annoyance, inconvenience or needless anxiety or be likely to upset, embarrass, alarm or annoy any other person.
Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
Involve commercial activities or sales, such as contests, sweepstakes and other sales promotions, barter or advertising.
Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.
Consist of or comprise any of the Prohibited Uses described above.

Copyright Infringement

Any material or content that resides or is accessible on or through the Online Services, including User Contributions, violate a copyright, please email to support@tvque.com for instructions on sending us a notice of copyright infringement. It is the policy of the Company to terminate the user accounts of repeat infringers.

Also, please send a notice of claimed infringement to the Company either by email or by mail (if available) using the contact information. The notice must contain the following information:

Your name, address, telephone number, and email address (if available);
Identification of the work or other subject matter on our Online Services to which the claimed infringement relates;
A description of your interest or rights with respect to the copyright work or other subject matter;

Indemnification

You agree to defend, indemnify and hold harmless the Company, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Online Services, including, but not limited to, your User Contributions, any use of the Online Services’ content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Online Services.

Governing Law and Jurisdiction

All matters relating to the Online Services and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction).

Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Online Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of California although we retain the right to bring any suit, action or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Arbitration

To the extent permitted by applicable law, the Company may require You to submit any disputes arising from the use of these Terms of Use or the Online Services, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying California law.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE ONLINE SERVICES MUST BE COMMENCED WITHIN TWO (2) YEARS AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability

No waiver of by the Company of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

8. Fees; Payment Terms; Account Cancellation

TVQue charges a subscription fee (“Fees”) for the use of TVQue.com. By registering for an Account, you agree to pay TVQue the Fees applicable to the account level chosen.
Unless otherwise stated, all Fees are in U.S. Dollars.
For monthly subscriptions, you may receive a one-time free trial(if applicable). After the free trial, Fees are non-refundable. No refunds or credits for partial months of service.
TVQue expressly reserves the right to change the Fees at any time, upon written notice to you at your registered email address. The Fees do not include any payment for telecommunications and computer hardware, software, telecommunications access charges, lines or connections or other equipment and services required to access and use which shall be your sole responsibility.
All Fees will be billed to your credit card at the current international currency conversion rate. You are responsible for and shall pay TVQue all currency conversion charges, sales, use, value-added, personal property or other tax, duty or levy of any kind, including interest and penalties thereon (collectively, “Taxes”) for the use of whether imposed now or hereinafter by any governmental entity.
For any upgrade in plan level that you elect or addition of devices, your credit card will automatically be charged the new rate on your next billing cycle, prorate of previous month partial charges may be added.
For any downgrade in plan level that you elect or removal of subscription devices, do send an email of the change to support@tvque.com and the changes will be reflected in your next billing cycle.
All Fees are paid in advance. After the free trial, there will be no refunds or credits for partial months of service, upgrades/downgrades, or for months when you did not use.
We reserve the right to deactivate your access to TVQue if you fail to pay applicable fees. You must provide current, complete, and accurate billing information. You must promptly update all billing information to keep your account current, complete, and accurate (such as by furnishing a new billing address, credit card number or expiration date), and you must promptly notify TVQue if your credit card is canceled (including if you lose your card or it is stolen), or if you become aware of a potential breach of security (such as an unauthorized disclosure or use of your name or password). You authorize us to obtain updated or replacement expiration dates for your credit card in the event that the credit card you provided us expires. We reserve the right to charge any renewal card issued to you as a replacement.
You agree to promptly pay TVQue in the event of any refusal of your credit card issuer to pay any amount to TVQue for any reason. You agree to pay all costs of collection, including attorney’s fees and costs, on any outstanding balance. In the event you fail to pay any amount when due, TVQue may immediately suspend or terminate this Agreement and your access to TVQue.com.
Your subscription will renew automatically unless we terminate it or you terminate your subscription.
You must cancel your subscription before it renews in order to avoid billing of subscription fees for the renewal term to your credit card.
